Dividend Policy and Payment

The Board of Directors may consider paying annual dividends to shareholders, subject to the Company’s financial capacity as required by law and Articles of Association, as well as approval by the shareholders’ meeting. The Board of Directors also has the authority to approve interim dividend payments from time to time when the Company has sufficient profits to do so. The Board of Directors must inform the shareholders of any dividend payments in the subsequent shareholders’ meeting.

We have a polity to pay a dividend of no less than 20% of our net profit, as shown in the financial statements (after taxes and provisions as required by law and the Company). The decision to pay dividends, including reviewing and amending dividend payment policy, is subject to the Company’s performance, financial position, cash flow, conditions, limitations, and contract obligations (such as loan repayments), provision of working capital, future investment plans, business expansion, market conditions, and other relevant factors, as deemed appropriate or necessary by the Board of Directors, as well as legal requirements and other necessities.
